Order of Precedence Clause

An order of precedence clause says which document wins when parts of a contract disagree, such as the order form, main agreement, DPA and online policies. It decides whether the terms you negotiated hold up.

What is an order of precedence clause?

An order of precedence clause says which document wins when two parts of your contract disagree. A SaaS contract is often a bundle: an order form, a main agreement, a DPA and online policies. This clause ranks them.

Salesforce's MSA is a clear example. If there is a conflict, it applies this ranking (section 12.3):

  1. The Order Form
  2. The Main Services Agreement
  3. The Documentation

Other vendors rank by topic. Atlassian's agreement says its main body controls in general, but its Policies, Product-Specific Terms and DPA control for their specific subject matter (section 20.6). Its AI Terms say they control over the agreement for AI features. HubSpot says the terms of an order control in a conflict, but only as to that order (section 12.15).

A real change we caught

Venpo flagged a change in which Google removed a key contract priority clause, creating hidden legal ambiguity. The removed clause in its Google One Additional Terms of Service had said those terms win over Google's general terms in a conflict. Without a ranking, it becomes harder to tell which document governs when two of them conflict.

Why it matters to you

  • Your negotiated terms. If you won a price cap or a special term in the order form, you need the order form to rank first. Otherwise a general clause could override it.
  • Linked documents. A clause that lets an online policy control "for its subject matter" means a later edit to that policy can win over the main agreement. This is where incorporation by reference and precedence meet.
  • Data promises. If the DPA ranks below the main terms, a broad data-use clause in the terms might weaken DPA protections.
  • Drafting gaps. A 2020 version of Salesforce's agreement had two provisions that ranked the agreement and its Documentation differently: section 3.1 applied "unless otherwise provided in the applicable Order Form or Documentation," while section 12.3 ranked the agreement above the Documentation (Salesforce MSA, June 2020).

What to check

  • Find the precedence clause. It is often in the general or "entire agreement" section near the end.
  • Confirm the order form ranks first, at least for price, term and quantities.
  • Check whether any online policy, product terms or AI terms can override the main agreement.
  • Check where the DPA sits in the ranking for anything about personal data.
  • If there is no precedence clause, ask for one before you sign.

How Venpo helps

A precedence clause can be removed or rewritten in an online update. Venpo monitors vendors' public terms and linked documents and emails you a plain-English alert when one changes, as with Google's priority clause.

Frequently asked questions

Does the order form override the terms of service?

Only if the contract says so. Many SaaS agreements rank the order form first, but some limit that to the one order or let certain policies control their own topics.

What happens if a contract has no order of precedence clause?

It becomes less clear which document applies, and that can lead to disputes. Ask for a clear ranking before you sign.
